2. Proposals and Project Approval

  • Before work begins, Wrought may provide a proposal, estimate, statement of work, subscription description, or another written description of the requested services.

  • The client is responsible for reviewing scope, deliverables, pricing, schedule, and other terms before approval.

  • Approval may be established by a signed agreement, electronic acceptance, payment of a required deposit or invoice, or another method specified by Wrought.

  • Material changes requested after approval may require a new or revised scope, schedule, and price.

3. Payment

  • Fees, deposits, recurring charges, payment schedules, and applicable expenses are disclosed in the relevant proposal, agreement, subscription, or invoice.

  • Wrought may require a deposit or advance payment before beginning work.

  • Invoice due dates are governed by the applicable invoice, proposal, or agreement.

  • Wrought may suspend work and withhold final deliverables while an invoice is past due.

  • Additional services, out-of-scope work, additional revisions where applicable, licensing costs, or rush work may create additional charges when authorized or otherwise permitted by the applicable agreement.

  • The client is responsible for applicable taxes unless the law requires otherwise.

3. Payment

  • Wrought may require a deposit or advance payment before beginning work.

  • Invoice due dates are governed by the applicable invoice, proposal, or agreement.

  • The client is responsible for applicable taxes unless the law requires otherwise.

4. Subscriptions and Recurring Services

  • Subscription plans are billed monthly.

  • Each plan defines its price, included services, request limits, turnaround expectations, cancellation requirements, and other applicable conditions.

  • Subscription fees are charged in advance at the beginning of each monthly billing period using the client’s provided payment method.

  • Unless properly cancelled, the subscription automatically renews monthly and the client authorizes Wrought and the applicable payment processor to charge the recurring fee.

  • Each monthly payment gives the client access to the services included in the selected plan for that billing period.

  • A subscription does not mean unlimited simultaneous projects or immediate delivery. Work remains subject to plan limits, project complexity, Wrought’s workload and queue, and client responsiveness.

  • Unused requests, services, hours, or capacity do not roll over unless Wrought expressly agrees otherwise in writing.

  • Plan changes normally take effect at the start of the next billing period unless otherwise agreed.

  • As an agreed exception to the general rule above: an upgrade to a higher-tier plan takes effect immediately, with the new rate charged immediately, so the client’s capacity and billing move together. A downgrade or a pause continues to follow the general rule and takes effect at the start of the next billing period.

  • Cancellation stops future renewals but does not automatically create a refund for the current billing period, except where agreed in writing or required by law.

  • Wrought may change subscription pricing or features. Changes affecting existing subscribers are to be communicated before taking effect and apply no earlier than a future billing period, subject to applicable law.

  • Subscription dates, renewal dates, cancellation deadlines, and related times use Eastern Time unless stated otherwise.

5. Client Responsibilities and Client-Provided Materials

  • The client must provide the information and materials reasonably necessary to perform the work.

  • This can include copy, spelling and grammar, names, contact information, pricing, product information, photos, illustrations, logos, brand assets, dimensions, measurements, vehicle templates, packaging dimensions, dielines, cut lines, folds, bleeds, safe areas, trim sizes, technical specifications, website content, links, and production-provider materials.

  • The client is responsible for making sure supplied information, specifications, dimensions, templates, and content are accurate, complete, current, and appropriate.

  • Wrought may rely on client-provided materials and is not responsible for independently verifying them unless verification is expressly included in the scope.

  • Wrought is not responsible for errors, delays, production problems, or added expenses caused by inaccurate, incomplete, outdated, or incorrect client-provided information.

  • If Wrought notices an apparent problem, Wrought may alert the client, but doing so does not create a general duty to proofread, measure, inspect, test, or verify everything supplied.

  • The client represents that it has the rights, licenses, permissions, and authorizations necessary to provide and use all materials supplied to Wrought.

  • Client-caused delays, including missing materials, delayed approvals, inaccurate information, or changes in direction, can affect the schedule.

  • Numbers, data, and calculations (such as revenue figures, statistics, or other numbers-based content) are the client’s responsibility to provide and verify. Wrought does not calculate, audit, or verify client-supplied figures.

  • Where a deliverable includes a chart or graph, Wrought builds the visual from data and chart-type direction (e.g. line vs. bar) the client provides. Interpreting what that data means is the client’s responsibility, not Wrought’s.

  • Wrought does not create or imply fabricated testimonials, reviews, or quotes. Any testimonial or review used in a deliverable must be real and supplied by the client.

  • Wrought does not provide photography services. Clients are responsible for supplying their own photos or sourcing stock or licensed imagery.

  • Copywriting services require concrete starting material from the client, such as key points or facts to include, rather than an open-ended prompt with no substantive direction.

  • Medical or medicine-related content is a hard exception to the copywriting rule above. The client must supply full, finished content for anything involving medical or medicine-related claims, regardless of plan tier. Wrought does not write medical or medicine-related content, for legal and liability reasons.

6. Revisions and Scope Changes

  • The number or extent of revisions is determined by the applicable proposal, subscription plan, or agreement. For Wrought’s standard subscription plans specifically, revisions are unlimited within the originally approved scope of a request — this section governs work that falls outside that scope, not a cap on ordinary revisions.

  • A revision is generally a reasonable modification to work already presented.

  • A completely new concept, new creative direction, additional deliverable, or substantial change in approved scope may be treated as new or additional work rather than a revision.

  • Requests beyond the included revisions or agreed scope may result in additional fees and schedule changes.

  • When reasonably practical, Wrought should communicate significant scope changes before performing materially additional billable work.

7. Project Schedules

  • Schedules and delivery dates are good-faith estimates unless Wrought expressly guarantees a date in writing.

  • Schedules may change because of client delays, scope changes, delayed approvals, missing materials, third-party requirements, technical problems, emergencies, or circumstances outside Wrought’s reasonable control.

  • Wrought should make reasonable efforts to communicate significant schedule changes.

8. Digital Delivery

  • Final Wrought deliverables are delivered digitally.

  • Depending on the project and scope, files may include PDF, SVG, EPS, AI, PSD, JPG, PNG, or other appropriate formats.

  • Digital delivery of artwork intended for physical use does not include printing, manufacturing, fabrication, installation, shipping, fulfillment, or physical delivery.

  • Wrought does not promise permanent backup storage after a project ends. The client is responsible for storing final files after delivery.

  • As a limited exception, for a subscribed client who cancels, Wrought currently keeps that client’s files accessible for 90 days after cancellation before they may be removed. This is a courtesy access window, not a backup or archival service, and does not extend to non-subscription projects or otherwise change the client’s own responsibility for storing final files.

9. Cancellation and Termination

  • Either party may terminate a project as permitted by the applicable proposal, subscription terms, or written agreement.

  • If work has already begun, the client remains responsible for amounts owed for completed work, approved expenses, third-party commitments, and other non-refundable costs through the cancellation date, subject to law and the applicable agreement.

  • Deposits, retainers, subscription payments, and advance payments are refundable only when expressly stated in writing or required by law.

  • Wrought may suspend or terminate service for nonpayment, abusive or unlawful conduct, repeated failure to provide needed information or approvals, material breach, or requests Wrought reasonably believes would violate law or third-party rights.

10. Intellectual Property

  • Wrought normally retains ownership of pre-existing intellectual property, internal processes and methods, templates and tools, know-how, preliminary work, unused or rejected concepts, design explorations, and anything not expressly transferred.

  • After full payment, the client receives the ownership or usage rights to the final approved deliverables described in the applicable agreement.

  • The exact rights transferred can vary by project.

  • Third-party fonts, stock assets, illustrations, software, plugins, templates, mockups, code libraries, music, video, and other licensed assets remain governed by their own licenses.

  • Wrought cannot transfer more rights in third-party material than the applicable license permits.

  • Unless otherwise agreed, preliminary concepts, rejected designs, unused directions, and working files remain Wrought property.

11. Portfolio and Promotional Use

  • Unless otherwise agreed in writing, Wrought may display completed work and publicly released project materials in its portfolio, website, social media, presentations, case studies, award submissions, promotional materials, and other demonstrations of its work.

  • Wrought’s deliverable is the applicable digital artwork or production file.

  • Physical production is handled by an independent printer, manufacturer, fabricator, installer, or other provider selected or approved by the client.

  • This includes packaging and labels, vehicle wraps/graphics, signs and banners, stationery, brochures/catalogs, posters/ads, apparel/merchandise graphics, displays/environmental graphics, and other production-ready artwork.

13. Third-Party Production Providers

  • At the client’s request, Wrought may recommend a provider, communicate with a provider, send files, answer design questions, or prepare artwork to the provider’s specifications.

  • That assistance does not make Wrought the printer, manufacturer, fabricator, installer, shipper, seller, or producer.

  • The client contracts directly with and pays the third-party provider.

  • Third-party providers are responsible for their own pricing, materials, production methods, manufacturing, installation, shipping, schedules, quality control, workmanship, warranties, and customer service.

  • To the extent permitted by law, Wrought is not responsible for an independent provider’s acts, omissions, errors, delays, defects, damage, loss, or other performance.

14. Production Files and Physical Output

  • Verification may include dimensions, scale, bleeds, safe areas, cut lines, dielines, fold lines, color modes, spot colors, materials, substrates, resolution, file formats, installation requirements, manufacturing tolerances, and other technical specifications.

  • Physical output can differ from digital previews because of printing methods, inks, materials, substrates, equipment, lighting, display calibration, color profiles, installation conditions, and other production variables.

  • Digital colors are not guaranteed to exactly match printed, painted, fabricated, manufactured, or installed colors.

  • Unless otherwise agreed or required by law, Wrought is not responsible for reprinting, remanufacturing, refabrication, reinstallation, replacement, shipping, or correction costs when the issue results from client-provided information, third-party production, or another circumstance outside Wrought’s control.

  • The client must carefully review proofs, concepts, deliverables, and production files before final approval, publication, distribution, or production.

  • Review should include spelling, grammar, names, contact information, prices, product information, dates, times, dimensions, measurements, sign sizes, vehicle specifications/templates, packaging dimensions, dielines, cut lines, folds, bleeds, safe areas, colors, images, links, legal notices, product claims, and other client-specific information.

  • Final approval confirms that the client accepts the information, content, dimensions, specifications, and other materials for the intended use.

  • For physical production, final client approval authorizes release of the digital artwork for production.

  • The client and its production provider remain responsible for confirming technical suitability before printing, manufacturing, fabrication, or installation.

  • Wrought should make reasonable efforts to produce accurate work and correctly implement supplied information, but Wrought is not responsible for inaccuracies originating in client-provided or client-approved materials.
